GENERAL INFORMATION ABOUT COMPANIES IN THE PEOPLE'S REPUBLIC OF CHINA:

NAME
The official name of a company can only be in Chinese, which must be entered in the register of companies.
However, if necessary (say, for the conduct of international business), companies may use the names in English or any other language.

REGISTRATION NUMBER
Since October 1, 2015, in most regions of China, companies are assigned a Single Public Credit Number during registration. In fact, it replaces the registration number, taxpayer identification number and organization code.

PERIOD OF ACTIVITY
As a rule, the company's activity term is 20-30 years. Companies with 100% national capital have the right not to determine this period. When the term of operation expires, the company is liquidated.

SHARE CAPITAL
There are no requirements for a minimum amount of authorized capital. At the same time, the authorized capital should correspond to the scale of the company's activity. The owners may pay the share capital at any time before the company ceases to operate.

OWNERS / MEMBERS
Since 2014, Chinese companies are not obliged to disclose information about the distribution of shares among the members / shareholders. Therefore, the information on the amount of shares of members/shareholders in the register may not be updated.

MANAGEMENT
Every company in the People's Republic of China must have a legal representative - a person who has the right to act on behalf of the organization without a power of attorney. The legal representative may be the chairman of the board of directors, the general or executive director.

ADDRESS
Chinese companies are required to conduct business at a registered address.

ACTIVITIES
PRC companies are allowed to work only in registered activities. Some activities are subject to licensing.

PLEDGE
The transfer of property as a pledge is subject to mandatory registration. If this is not done, then the existence of a pledge does not have legal force for third parties.
