How to choose a name for OOO?

    Before registering a OOO (limited liability company), it is important to decide on what your company will be called. After all, you do not create it for one day, and therefore the choice must be approached with maximum responsibility. What should you pay attention to and how to choose the name?


    According to the Civil Code of the Russian Federation (Article 54), a legal entity must have a company name. The name should contain an indication of the legal form, and in some cases also the nature of the activity (for example, for banks, pawnshops, etc.).

    The company must have a full and have the right to have an abbreviated company name in Russian .
    The company also has the right to have a full and (or) abbreviated company name in a foreign language.

    As a rule, the following words/word combinations should not be used in the company name:

    • Российская Федерация (Russian Federation) or Россия (Russia ) (and derivative words);
    • Full or abbreviated names of federal government agency;
    • Full or abbreviated names of foreign countries, as well as words derived from such names;
    • Full or abbreviated names of public associations;
    • Denominations contrary to the public interest as well as to the principles of humanity and morality;
    • Words (symbols) in a foreign language.


    It should also be noted that some terms can only be used for certain activities/conditions. Thus, for example, the terms "lawyer", "chamber of advocates" etc. can be used only in the name of firms established by lawyers (Article 5 of the Law "On Advocacy and the Bar in the Russian Federation").


    There are no requirements for the uniqueness of the company name when registering in Russia. In any case, you will be able to register a OOO if its name meets the formal requirements. However, the Civil Code provides for the possibility of protecting its corporate name, up to the prohibition of its use by other legal entities (Art. 1252 Civil Code).
