Set of documents for the registration authority

To establish a company, the following documents must be submitted to the registration authority (Article 12 129-FL):
basic set
  • FORM P11001 (signed by all applicants and certified accordingly) - 1 copy;
  • DECISION on the establishment of OOO - 1 copy;
  • Articles of Association (exception - if an OOO plans to act on the basis of a standard Articles ) - 2 copies;
  • DUTY PAYMENT DOCUMENT

optionally
  • APPLICATION FOR APPLICATION OF A SIMPLIFIED SYSTEM OF TAXATION / PATENT;
  • EXTRACT FROM THE TRADE REGISTER (OR SIMILAR) - if the founders include a foreign legal entity;

But:

  • MEMORANDUM OF ASSOCIATION ;
  • documents confirming the right to use the address ;
  • founders passports
    etc.
not required (and, therefore, the registration authority does not have the right to demand them).
Their filing with the registration authority is left to the "discretion of the applicants"..

IMPORTANT
All documents must be printed on white A4 sheets, with black ink, printed on one side only.
Duplex printing is not permitted. On 1 sheet there is only 1 page.
All documents must be prepared (translated) in Russian.
